Terms of Service

These Terms of Service ("Terms") are an agreement between SMNSCU Ltd (trading as Coderbase) ("Provider") and the Customer for the Coderbase platform and the interviewing services offered through it (the "Service").

Where a company agreed earlier terms with the Provider, those terms govern the company's use of the Service until the Provider moves it onto the plans in these Terms, which then replace them. Amounts already due under the earlier terms remain due.

1. Parties and accounts

The Customer is the company a person creates or joins on the Service and uses it for. Where a person uses the Service in a personal capacity, for example as a platform interviewer, that person is the Customer.

Everyone who creates an account accepts these Terms. A person who uses the Service for a company accepts them for that company and represents that they have authority to do so. The Provider records who accepted, which version, when, and from which IP address and browser.

The Service is for business use and is not offered to consumers.

The Customer must keep its account information accurate. It decides who has access to its company and in which role, and is responsible for what its users do on the Service. It must keep sign-in details and API and MCP credentials secure, and tell the Provider promptly about any unauthorized access.

2. The Service

The Provider supplies software and services for structured technical interviews. Each interview is either self-serve, run by the Customer's own engineers on the Service, or concierge, run by one of the Provider's interviewers.

Depending on the Customer's tier and settings, the Service also includes the Provider's question library and rubrics, written reports, recordings and transcripts, AI-assisted drafting, and access through MCP and the API.

3. Plans and packs

A company is on one tier at a time: Free, Starter, Pro or Enterprise. A new company starts on Free. The tier decides the company's features, which parts of the question library it can use, and its recurring allowance of interview units (section 4). Packs add units on any tier, Free included, without changing the tier or what it includes.

Prices, allowances and features are those shown on the pricing page and in the Customer's account at the time of purchase. A monthly plan grants its allowance as each month is paid for, and an annual plan grants the whole year's allowance when the year is paid for.

Enterprise is annual and agreed in an order form that references these Terms. The order form can set its own price, allowances, payment terms and other commitments, such as a service level, and where it conflicts with these Terms, it governs for what it covers. An Enterprise term and its allowance start when its invoice is paid.

4. Interview units

Allowances and packs are counted in interview units ("units"), which the pricing page and the product show as interviews. Self-serve and concierge units are separate and never convert into each other.

Units are a quota, and usage is never invoiced. An interview holds its units once it is booked for a time, and its outcome then spends or releases them. How many units an interview counts for, and what a completion, cancellation, no-show, late reschedule or technical failure spends or releases, follow the rules shown in the product. A technical fault on the Provider's side, or the Provider's interviewer not attending, never spends units. A redo is a new interview and counts on its own.

The Provider may correct a recorded outcome that was wrong, and the units follow the corrected outcome.

A booked interview is always honored. Expiry and plan changes only affect units that no interview holds. Units an interview releases go back to the grant they came from and expire with it.

Units from plans and packs, and units the Provider grants outside a trial, share one expiry date: two years after the Customer's latest purchase. Every plan payment or pack moves that date forward for all of them. When nothing the Customer paid for is still valid, units the Provider grants stay valid for two years after the latest such grant. Units from the public trial expire after 14 days, and units from a trial the Provider grants expire when it ends, unless the Customer pays for a plan or a pack during the trial (section 7). Trial units are spent first, then the Customer's other units in the order they were granted, oldest first.

The Customer's balance can fall below zero, for example when a candidate books an invitation after the Customer's units have run out. The Provider then tells the Customer, honors every booked interview, and takes the shortfall from the Customer's next grant or purchase. A negative balance is never invoiced.

5. Payment and tax

Stripe, the Provider's payment processor, collects payments and holds the Customer's billing details: legal name, address, tax ID and card. The Provider keeps only a reference to the Customer's record at Stripe. Invoices and receipts come from Stripe, and the Customer manages its card, billing details and subscription from its account.

Prices exclude tax, which is added where it applies. The Customer is responsible for taxes on its purchases, other than taxes on the Provider's income.

A subscription renews automatically for a term of the same length until it is canceled. The Customer authorizes the Provider, through Stripe, to charge its payment method on file for each renewal and each purchase. If a renewal payment fails, Stripe retries it. The Customer keeps its tier for 7 days past the end of the term, then moves to Free if the payment has still not succeeded. Units from plans and packs are granted only once their payment is received.

The Provider may change its prices. A new price applies to new subscriptions and purchases. An existing subscription keeps its price until the Provider decides otherwise, and the Provider tells the Customer by email before the renewal at which a new price would apply.

6. Changing or canceling a plan

The Customer can change or cancel its plan at any time from its account.

An upgrade is a move to a higher tier on the same or a longer billing period, or from monthly to annual billing on the same tier. It starts a new term on the new plan as soon as its invoice is paid. The unused part of the old plan is credited against the new one, and the new plan grants its allowance less what the plan it replaces has already granted.

A cancellation, and any change that is not an upgrade, takes effect at the end of the current term, and until then the Customer keeps the current plan and everything its term granted.

Units already granted keep their expiry date through a cancellation or a move to a lower tier, and any plan payment, an upgrade included, moves it forward (section 4). When the Customer moves to a lower tier, it loses the higher tier's features and library content, including MCP and API access where the new tier does not include them, and keeps its interview history, its reports and its own questions.

7. Trials

A company can start the public trial without a card. The trial gives a small number of self-serve units, shown when it starts, to use within 14 days on the Free part of the question library. Each company, and each person, can start it only once. A plan payment or a pack bought during the trial keeps its unused units, which then share the expiry date of the Customer's other units (section 4).

The Provider may also grant a company a trial of a stated tier for a stated period, with no payment and no invoice. If the Customer subscribes during the trial, the paid plan starts at once and the trial's unused units stay with the Customer and share the expiry date of its other units (section 4). A pack bought during the trial keeps the unused units granted so far in the same way, and the trial carries on. Otherwise the Customer moves to Free when the trial ends, and its unused trial units expire. The Provider may end a trial early for good reason, and the Customer then loses the trial's features and unused units at once.

Concierge interviews created while the Customer is on a trial, including the public trial, may be run by a limited pool of interviewers.

8. Credit and refunds

The Provider may issue credit, for example as a referral reward or as goodwill. Credit is money toward the Customer's Stripe invoices, in its billing currency, and applies to an invoice's total including tax. Credit the Provider issues has no cash value and, if unspent, expires two years after it is issued. Credit from a refund or a plan change does not expire.

The Provider may reverse a referral reward that was not earned in good faith, which takes back only unspent credit. The Provider holds no prepaid balance or deposit for the Customer.

If an interview disappoints the Customer, the Customer can tell the Provider, and the Provider puts it right with another interview, credit or a refund, without asking the Customer to justify the request. The Provider may decline a remedy, or take one back, where it is being used to get interviews without paying for them, for example by repeated requests about interviews that ran as booked. Otherwise, and except where the law requires it, payments are not refundable. When the Provider refunds a payment, or a payment is reversed through a card dispute, it may adjust the Customer's tier and units to match.

9. Customer responsibilities

The Customer is responsible for sourcing and inviting candidates, and for every interviewing, hiring or engagement decision it makes using the Service.

The Customer must have the rights and lawful basis it needs for the content it provides, including job descriptions, candidate information and interview materials.

The Customer must give candidates any notices, and obtain any consents, that the law requires for recordings, transcripts, the processing of their interviews and the sharing of reports.

For self-serve interviews, the Customer is responsible for how its interviewers conduct each interview, for their notes and scoring, and for recording accurately how each interview ended.

The Customer must not use reports, transcripts or AI-assisted output as the sole basis for a hiring decision.

The Customer must use share links only for legitimate hiring or client-review purposes.

10. Acceptable use

The Customer must not, and must not allow any of its users to:

  • use the Service for any unlawful, discriminatory or deceptive purpose
  • share, publish or republish questions, rubrics, reference answers or scoring guidance from the Provider's library outside the Customer's own hiring
  • scrape the question library, or copy it in bulk by any means, including the API and MCP
  • access data belonging to another customer, or interfere with the security or performance of the Service
  • reverse engineer the Service, except where the law allows it
  • upload malicious code, or content it has no right to use
  • record an interview's outcome falsely, for example to keep units
  • create accounts or companies to get more trials, credit or other benefits than it is due

The Provider records reads of the question library to detect misuse.

11. Intellectual property

The Provider owns the Service, including the platform software, the question library and its own interview formats, interviewer scripts, rubrics and scoring methodology, with all improvements to them and related know-how.

The Customer owns its job descriptions, the material it uploads, its candidate data, the reports generated for its candidates, and the questions it writes itself. The Provider keeps ownership of its own templates, methodology and library content that appear in those reports.

The Provider gives the Customer a limited, non-exclusive, non-transferable right to use the Service, and the library content in its reports, for its own recruiting and hiring. The Customer may keep and use its reports after its plan changes or these Terms end.

The Customer gives the Provider the right to host, copy, process and display the Customer's content as needed to provide the Service.

12. Confidentiality and data protection

Each party must keep the other's non-public information confidential and use it only for the purposes of these Terms. This includes candidate code, recordings, transcripts, interviewer notes, reports, prices agreed in an order form, security information and product plans.

As between the parties, the Customer is the controller of candidate and recruiting personal data, and the Provider is its processor. The Provider processes that data only as needed to provide the Service. Each party keeps reasonable security measures in place for the data it handles.

The Provider's published Data Processing Addendum, as updated from time to time on notice, is incorporated into these Terms by reference and applies on every tier. Use of the Service is also subject to the Provider's Privacy Policy.

13. Term, suspension and termination

These Terms apply from acceptance and continue for as long as the Customer has an account or uses the Service.

The Customer can stop using the Service at any time, and can cancel a subscription with effect at the end of its current term (section 6).

The Provider may suspend or close the Customer's access immediately if the Customer materially breaches these Terms, abuses the Service, fails to pay, creates a security risk or uses the Service unlawfully.

When access ends, the Provider may cancel future interviews, and keeps or deletes data in line with the law, the Data Processing Addendum and the Privacy Policy. Amounts already owed, and the terms on confidentiality, intellectual property and liability, survive the end of these Terms.

14. Warranties and disclaimers

The Provider supplies the Service with reasonable care and skill.

The Service depends on third-party infrastructure and changes over time. The Provider does not guarantee uninterrupted or error-free operation, or any particular hiring outcome.

Reports and AI-assisted output are not legal or employment advice, and do not guarantee how a candidate will perform.

Except as these Terms expressly say, and to the extent the law allows, the Service is provided as is and all implied warranties are excluded.

15. Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or for fraudulent misrepresentation.

Neither party is liable for any indirect, incidental, special, punitive or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings, arising out of these Terms.

To the extent the law allows, the Provider's total liability arising out of or in connection with these Terms is limited to the fees the Customer paid the Provider in the 12 months before the event giving rise to the claim.

This limit does not reduce any amount the Customer owes the Provider.

16. Independent contractors

The parties are independent contractors. Nothing in these Terms creates an employment, agency, partnership, fiduciary or joint venture relationship between them.

Interviewers who run concierge interviews for the Provider are independent contractors. They are paid at the rate shown in their account, under the Self-Billing Agreement, and must keep confidential all candidate and customer information they see while interviewing (section 12 applies).

17. Changes to these Terms

The Provider may update these Terms. The version in force is the one published at this URL.

When these Terms change, each signed-in person sees a short notice asking them to accept the new version the next time they load a page. Continuing to use the Service after a change means the Customer accepts it. Where a change to these Terms or to a paid plan materially affects existing subscribers, the Provider tells them by email before their next renewal.

18. Governing law and contact

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them.

The Provider sends notices to the email addresses on the Customer's account, or shows them in the product. Questions and notices for the Provider go to [email protected].
